Terms of Service

These Terms of Service (“Terms”) govern access to and use of the CertLynx website, iOS and Android applications, and related services (collectively, the “Platform”). By creating an account or using the Platform, you agree to these Terms and the Privacy Policy.

1. Eligibility

You must be at least 18 years old to create an account or use CertLynx. By using the Platform, you represent that you meet this requirement and have legal capacity to agree to these Terms.

2. Limited License; App Stores

Subject to these Terms, CertLynx grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Platform, including a downloaded mobile application, for your lawful personal use.

If you download a CertLynx application through the Apple App Store or Google Play, your download and use are also subject to the applicable store's terms and usage rules.

For the iOS application, these Terms are between you and CertLynx, not Apple. Apple is not responsible for the Platform or its content. To the extent required by Apple's applicable terms, Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the iOS application and may enforce the applicable provisions against you.

3. Permitted Use

CertLynx may allow you to connect with people pursuing professional certifications; join or create study groups and forums; publish and interact with videos, photos, posts, comments, and other User Content; track certification goals; use study tools and learning assessments; use Lynx, including Lynx Study Sessions, on the Platform when available; connect with eligible tutors; and use wallet or payment-related features made available by CertLynx.

You may not misuse the Platform, gain unauthorized access, interfere with operation, evade enforcement, distribute unlawful or harmful content, infringe the rights of others, or violate these Terms, the Community Guidelines, or applicable law.

4. User-Generated Content and Community Safety

Community features are subject to the Community Guidelines. CertLynx may use automated and human moderation, reporting tools, content filtering, user blocking, and other safeguards to address objectionable content and abusive users. Users must use available reporting and blocking tools responsibly.

CertLynx may remove content, restrict features, suspend or terminate accounts, or take other action when content or conduct violates these Terms, the Community Guidelines, or law.

5. User Content License

You retain ownership of videos, photos, posts, comments, messages, study materials, and other content you create or upload (“User Content”), subject to third-party rights.

By posting or uploading User Content, you grant CertLynx a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt for technical purposes, transmit, display, and distribute that User Content as reasonably necessary to operate, provide, secure, moderate, and improve the Platform and to make your content available to the audiences and features you select.

This license ends when the User Content is deleted, except to the extent continued retention is reasonably necessary for backups, legal obligations, safety, fraud prevention, dispute resolution, or enforcement. You represent that you have the rights necessary to post the User Content and grant this license.

6. Tutor Services

Tutors are independent professionals who set their own rates and availability. Individuals must complete CertLynx's applicable tutor verification process before representing themselves as verified CertLynx tutors. Learner accounts may not be used to evade tutor verification or authorized payment processes.

CertLynx facilitates eligible connections and transactions but does not guarantee tutoring outcomes, exam results, certification, employment, or any other professional or educational result.

7. Payments

CertLynx uses Stripe and, where applicable, other payment providers to process eligible transactions, including tutoring payments, wallet-related transactions, learning assessments, and other paid features. Prices, fees, refund rules, and feature-specific conditions displayed before purchase form part of these Terms.

Unless different terms are displayed before booking, CertLynx retains a 15% platform fee from a tutoring session's gross amount and the tutor receives the remaining 85%, subject to applicable processing fees and adjustments. Unless otherwise disclosed, cancellations within 24 hours may incur a $50 late-cancellation fee, and a student who does not join within the 10-minute grace period may be treated as a no-show and charged the full session price.

Wallet, assessment, and other paid features may have separate pricing, expiration, refund, or usage rules displayed in the applicable purchase flow.

8. SMS / Text Messaging

If you provide a mobile number and opt in where required, CertLynx may send applicable transactional and account-related text messages. Message frequency varies and message and data rates may apply. You may opt out of optional messages by replying STOP or using available settings. Reply HELP for help. For details on how we handle mobile data, see our Privacy Policy.

9. Study Tools and Educational Information

CertLynx community features, study tools, AI-assisted features, learning assessments, peer-created content, and tutoring are study aids. They are not substitutes for official exam outlines, candidate handbooks, eligibility rules, registration requirements, or materials published by the applicable certification or testing organization.

Exam requirements, fees, formats, policies, and content can change. You are responsible for confirming current information with the official provider. CertLynx does not guarantee that use of the Platform will result in passing an exam, earning a credential, obtaining employment, or achieving any particular outcome.

10. CertLynx Intellectual Property

The Platform, including CertLynx branding, software, interface elements, and CertLynx-created content, is owned by CertLynx or its licensors and protected by applicable intellectual-property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, license, or exploit CertLynx-owned materials without permission.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Platform is provided “as is” and “as available,” without warranties of any kind, express or implied. CertLynx does not warrant uninterrupted, error-free, or secure operation or any particular educational or professional outcome.

12. Limitation of Liability

To the maximum extent permitted by law, CertLynx will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the Platform. Nothing in these Terms limits liability that cannot legally be limited or excluded.

13. Suspension, Termination, and Account Deletion

You may stop using CertLynx at any time and may delete your account through available account settings or by requesting deletion in the Privacy Policy. CertLynx may restrict, suspend, or terminate access when reasonably necessary to protect users or the Platform, address violations, comply with law, or enforce these Terms.

14. Changes to These Terms

We may update these Terms from time to time. When changes are material, we may provide notice through the Platform or by other appropriate means. Continued use after revised Terms become effective constitutes acceptance to the extent permitted by law.
